Supervisory
Board
According
to the Company’s Articles of Association the Supervisory Board comprises 7
persons including:
the
president, the vice-president and five members.

to § 32 of the Company’s Articles of Association the Managing Board
comprises 2 to 5 persons. Currently the Managing Board comprises 4 persons
including: the president, the vice-president and two members.
Members
of the Managing Board are appointed and dismissed by the Supervisory Board. Two
members of the Managing Board are commonly authorised to give statements of will
on behalf of the Company. The Managing Board have not granted any person the
right of proxy.

economic specialist to deputy economic director. Since 1990, following the
qualification competition, nominated the Director of a state-owned enterprise
Mostostal Gdańsk. Since 1991 the President of the Managing Board of Mostostal
Gdańsk SA.
Jacek
Faron
– the Vice-President of the Managing Board, Marketing Director. Technical
degree, graduated from ¦l±sk
Technical University in Gliwice. Professional work initiated in 1972 as a
constructor in Elmor, then employed in Gdańsk Refinery, Navimor, a Dutch
company called Interbeton, from 1994 to 1995 the President of American Polish
Homebuilding Institute in Warsaw, from 1995 to 1996 the President of Zarz±d
Towarzystwa Ubezpieczeń
i Reasekuracji STU SA (STU SA Insurance and Reinsurance Association) in Warsaw,
since October 07, 1996 a member of the Managing Board, Marketing Director. Since
June 1999 the Vice-President of the Managing Board as Marketing Director.
Krystyna
Nowakowska
– a member of the Managing Board, Financial Director. Degree in Economics,
University of Gdańsk graduate. Employed in state-owned company Mostostal in Gdańsk
since 1973, previously employed in Gdańsk Province Shoe Trade Enterprise and in
Centromor. Employed in Mostostal as a supervisor, specialist, section manager
and since 1990 deputy economical director. Since 1991 a member of the Managing
Board of Mostostal Gdańsk SA as the Economical and Financial Director.
Mariusz
Tadeusz Kurkowski
– a Member of the Managing Board, Production Director. Technical degree,
graduated from Gdańsk Technical University. Employed in state-owned enterprise
of Mostostal in Gdańsk since 1985 as site engineer, deputy site manager,
designer, site manager, main exports specialist, deputy technical manager in
WZB1 (currently MG Pomorze S.A.) and General Contracting Office Director. Since
1991 the Vice-President of the Supervisory Board of Mostostal Gdańsk S.A. and
then, since 1995 to 1997 the Secretary of the Supervisory Board. Since June 1999
a Member of the Managing Board of Mostostal Gdańsk S.A. as the Production
Director.
